TERMS OF SERVICE
These Terms govern your use of services provided by Ucartz Online Pvt Ltd ("Ucartz", "we"). By purchasing, accessing, or using our services, you agree to these Terms and the policies referenced in them. Policy hierarchy. If there is a conflict, the applicable product appendix controls, then the Service Level Agreement (SLA), then this TOS. The Acceptable Use Policy (AUP) applies to all services. 1.) Accounts and Communications
Provide accurate contact details and keep them current. We may send legally binding notices to your primary email and the client portal. Timestamps on our systems are authoritative for contractual notices unless stricter form is required by law. You are responsible for all activity under your account, including actions by employees, contractors, or third parties who gain access through you. Protect credentials, SSH keys, stream keys, and API tokens. Notify us promptly if you suspect compromise.2.) Services and Scope
We provide a full stack of hosting, infrastructure, and operations services. Unless a product page or SOW states otherwise, the services include:- Shared Hosting (Linux/cPanel), Reseller Hosting, WordPress or CMS hosting, Windows or Plesk hosting
- Cloud or VPS (KVM based), Kali Linux VPS for authorized security testing on your own assets as permitted in TOS §14 and AUP §5, Dedicated Servers, GPU Servers for compute or AI workloads, Bare Metal
- Streaming and Broadcasting: Shoutcast, Icecast, SonicPanel, CentovaCast, VdoPanel for audio and video ingest, HLS delivery, AutoDJ or DVR where available
- Domains and DNS: registration, transfer, renewal, WHOIS privacy, DNS hosting or Anycast where available
- Email Services: business email and mailboxes, SMTP relay subject to limits, anti spam and antivirus add ons
- Security and Networking: DDoS mitigation by plan, WAF or IPS where offered, firewalling, rDNS or PTR management
- Storage and Backups: snapshot or rolling backups where stated, offsite backup add ons, object or file storage where offered
- Licences and Add ons: resale and provisioning of third party licences such as cPanel, Plesk, LiteSpeed, CloudLinux, Imunify, JetBackup, Softaculous, BitNinja, subject to vendor terms
- Certificates and Identity: SSL or TLS certificates (DV or OV or EV) and installation assistance
- CDN and Performance: CDN integrations, caching layers, and optimisation assistance where available
- Professional Services: TechOps (Web Hosting Support, Server Management, Server Monitoring, Staff Augmentation, Hire an Admin, Hire a Team), CloudOps (AWS cloud migrate, modernize, optimize, manage), FinOps as a Service, DevOps (24/7 DevOps as a Service, CI/CD pipelines, Infrastructure as Code, DevSecOps, Hire DevOps Engineers, consulting), and SecOps (VAPT, source code review, security consultation, system hardening, managed SOC, compliance as a service)
3.) Order of Precedence and Incorporated Policies
You must comply with:- AUP (platform behavior and content rules, single source of detailed use restrictions)
- SLA (uptime targets, credits, maintenance, single source of credit math and claim rules)
- Privacy Policy and Data Protection Notice (GDPR or DPDP alignment)
- Product Appendices (Shared, VPS or Dedicated, Streaming, Domains, Tech Ops)
4.) Uptime Target Summary
Platform availability target is 99.9 percent monthly for shared hosting, VPS nodes, dedicated server network and power, and streaming platforms. Credits, exclusions, and procedures are defined in the SLA.5.) Backups and Customer Data Responsibility
- Shared Hosting: platform backups are provided with limited retention where stated. Backups are not guaranteed. You must maintain independent backups at all times.
- VPS and Dedicated: You are responsible for all backups. We may offer backup add-ons or snapshot features; these are subject to separate terms and are not guaranteed.
- Streaming: We may provide server-side recording or DVR features where offered. These are subject to storage limits and retention policies defined in product appendices. You must not use these features to store content beyond applicable retention periods.
6.) Fair Use and Platform Protection
We apply reasonable limits on CPU, RAM, IO, processes, inodes, MySQL usage, and outbound email to protect multi tenant stability. Detailed shared hosting limits and rules are in Appendix A and the AUP. We may rate limit, throttle, or temporarily suspend resources that endanger platform stability. We notify you through the portal when feasible.7.) Acceptable Use
You must comply with our Acceptable Use Policy which is incorporated by reference. The AUP is the single source of detailed use restrictions and enforcement steps.8.) Payments, Billing, Money back and Refunds
- Services are billed in advance per the selected billing cycle.
- Payment methods include UPI, cards, net banking, and PayPal. Cheque payments are applied after clearance.
- 30 day money back guarantee: Shared, Cloud, and Reseller hosting plans are eligible if you request cancellation within 30 days of signup. Refunds exclude domain registration or transfer or renewal fees and third party licence charges. If your hosting plan included a free domain, the standard domain price is deducted from any refund or you may pay the difference to retain the domain. Refunds are not issued for accounts suspended or terminated for cause. Refund processing may take up to 14 days from acknowledgement of your request.
- No refunds on Dedicated Servers, custom builds, paid licences, cloud marketplace services, or paid support.
- We may revise prices for renewals with 14 days’ notice. Prepaid terms are unaffected until the end of the current term.
- Subscriptions auto renew by default. If auto renewal fails, we may suspend services until payment is received.
- Chargebacks or payment reversals may result in immediate suspension and a reinstatement fee. We may pursue collection costs including arbitration and legal fees.
9.) Cancellations and Termination
- You may cancel through the client portal at any time. Non renewal leads to suspension at expiry and data deletion after the retention window in Section 12.
- We may suspend or terminate services for policy violations, material security risk, non payment, unlawful activity, or repeated abuse.
- On request to remove additional IP blocks, we may audit usage and charge for blacklist remediation when applicable.
10.) Hardware and Infrastructure
We may replace components with equivalent or newer parts. Newer hardware may affect custom software compatibility. We may apply emergency patches or upgrades without prior notice to address security or stability.11.) Managed and Unmanaged Services
- Managed plans include OS patching, baseline hardening, monitoring, and incident response for covered components.
- Unmanaged plans exclude system administration beyond provisioning. Hands on work is available via Hire an Expert.
12.) Data Retention, Export, and Deletion
- Immediate cancellation by you: if you request cancellation with immediate termination, your service is suspended immediately and scheduled for termination within 24 hours. Data may be deleted at or after termination. Keep offsite backups at all times.
- Cancellation upon expiration in case of non renewal: if you do not renew by the due date, the service is suspended after 24 hours and scheduled for termination within 72 hours after expiration. After termination, data is unrecoverable.
- Other terminations for AUP breach, fraud, chargeback, or legal order: we may suspend or terminate immediately without prior notice. We may preserve or delete data as required by law. Recovery is not guaranteed.
- You are responsible for exporting your data before cancellation, expiration, or termination events. We are not liable for deleted or lost content once a service has been terminated.
13.) Domains
- Registrations are subject to ICANN policies and registry rules, including .IN. We send required renewal reminders. Failure to renew may lead to suspension and deletion. Redemption may require registry fees if restoration is available.
- WHOIS privacy and DNSSEC are offered where supported. We are not responsible for loss of a domain due to outdated contact information, failed payment, or customer delay.
14.) Security Testing
- Prohibited on Shared Hosting.
- Allowed on your own VPS or Dedicated assets only with written authorization for those assets and in compliance with applicable law. We may request proof.
15.) Consulting and Hire an Expert (Tech Ops)
- Engagements may be billed hourly, by retainer, or via Statement of Work. Deliverables are licensed for your internal use after full payment. Our pre existing tools and templates remain our IP. Warranty is 30 days for defects within delivered scope. Material changes require written approval and may affect cost and timeline.
- Access must be least privilege and time bound. We may require MFA, bastion, and logging. We keep change notes. Session transcripts may be available where feasible.
- Scope examples include TechOps (Web Hosting Support, Server Management, Server Monitoring, Staff Augmentation, Hire an Admin, Hire a Team), CloudOps (AWS cloud migrate, modernize, optimize, manage), FinOps as a Service, DevOps (24/7 DevOps as a Service, CI/CD pipelines, Infrastructure as Code, DevSecOps, Hire DevOps Engineers, consulting), and SecOps (VAPT, source code review, security consultation, system hardening, managed SOC, compliance as a service).
16.) Compliance and Legal Requests
We act on lawful orders and may preserve or disclose logs as required by law. Where applicable, certain logs may be retained to comply with legal directions.17.) Taxes
Prices exclude applicable taxes. Indian customers are charged GST as per law. International taxes may apply depending on location and service.18.) Liability and Indemnity
- Our total liability for direct damages is limited to the fees you paid for the affected service during the 6 months before the claim. This limit does not apply to our willful misconduct or fraud.
- We are not liable for indirect, incidental, consequential, or special damages.
- You agree to indemnify us against third party claims arising from your use of the services, including content licensing and misuse.
19.) Governing Law and Dispute Resolution
These Terms are governed by the laws of India. Courts in Kerala have exclusive jurisdiction. Parties may agree to arbitration.20.) Changes to Terms
- Ucartz may modify these TOS at any time. Where a change is required by law or relates to the addition of a new service, extra functionality to existing service, security updates, or any other change that does not reduce your rights nor increase your responsibilities, the change takes immediate effect without prior notice.
- For other changes, we will provide notice via email or the client portal before the effective date. Continued use after the effective date constitutes acceptance.
- No oral or informal clarification by either party modifies these TOS. Only a written amendment executed by authorized representatives has effect.
21.) Transfers and Migrations
- Complimentary migration window: we provide a free migration service to help transfer your website from your previous provider to Ucartz. You understand your website best. While we will make reasonable efforts to migrate site files and data, you are responsible for providing suitable access for data retrieval and for verifying the success of the migration. Our goal is to complete migrations within 72 hours, but timelines are not guaranteed. We may also assist with migrating emails, DNS records, and domain names where feasible, but uninterrupted or successful migration of these elements is not guaranteed.
- Incompatibilities: hosting environments differ. Data may be stored in incompatible or proprietary formats, making migration difficult or impossible in some cases.
- Eligibility period: the complimentary migration service is valid for 30 days from your sign up date. After this period, transfer fees may apply. Ucartz is not responsible for lost or missing data during transfers to or from our service. Keep current backups in all situations.
- Unmanaged plans: free migration is not available for unmanaged hosting. If migration assistance is required, additional charges will apply.
- Control panel differences and manual moves: for both managed and unmanaged services, migration charges may apply if the control panels differ or if a manual migration is required.
22.) Suspension or Disabling of Services
We may suspend or disable services for the following reasons:- To diagnose or resolve technical problems or to make technical changes. We will attempt to notify you beforehand when feasible.
- To reflect changes in laws or regulatory requirements.
- When required by law, court order, or a competent authority.
- If we believe you have violated a material term of this Agreement or related policies.
- To address or resolve third party claims, takedown demands, or legal actions.
- To avoid financial loss or legal liability, including abuse, fraud, or security threats.
23.) Late Payment or Non Payment
- Suspension and restoration: unpaid invoices may result in suspension or termination of your account. Suspended accounts are restored after the outstanding invoice is paid. Access to data resumes upon restoration.
- Termination and data: if your account is terminated, data on the account will not be restored and a new account will be required. If you fail to renew on time, late fees may be charged on your invoice as applicable.
- New orders: we will not activate new orders or packages for customers with an outstanding balance.
24.) Account Termination
Your Ucartz hosting account can be terminated for the reasons below:- You decide to discontinue. If you place a cancellation request with immediate termination during your subscription, your hosting account is suspended right away and terminated within 24 hours.
- Cancellation upon expiration. If you request discontinuation after your subscription expires, your hosting account is suspended at the end of the subscription and terminated within 24 hours after the expiration date.
- Failure to pay. If you do not pay fees owed, we may suspend or terminate the services and pursue collection costs, including arbitration and legal fees. Accounts are not reactivated until all outstanding amounts are settled. We are not liable for deleted content resulting from suspension or termination.
- Renewal not done in time. If you fail to renew on the due date, your hosting account is suspended after 24 hours and terminated within 72 hours after expiration.
- Violation of TOS or AUP. Material violations may lead to immediate suspension and termination upon notice of the violation.
- Potential fraud. Orders are screened by anti fraud systems. If verification information is requested and not provided, the account may be suspended and terminated immediately.
- Dispute or chargeback. We may suspend first and provide a 7 day window to resolve with Ucartz. If unresolved, termination may occur.
- Backups. Maintain your own backups. All files may be deleted from the server upon termination. Ucartz is not liable for such deletion.
25.) Third Party Products and Beneficiaries
Informal resolution. In the event of any dispute, controversy, or claim arising out of or related to this Agreement, the parties will use reasonable efforts to settle disputes. We will consult and negotiate in good faith to reach a mutually satisfactory resolution. Third party terms. When you buy, activate, or use a third party product or service via Ucartz, you agree to this TOS and to the third party’s terms and licenses. Product Appendices
Appendix A — Shared Hosting and Reseller Hosting
A.1 Platform Limits per cPanel account unless plan states higher
The following caps apply to Shared and Reseller plans and may vary by tier. If your plan advertises higher values, those prevail.- CPU and RAM: up to 1 vCPU core and up to 1 GB RAM per account (CloudLinux LVE)
- Entry Processes EP: 20
- Number of Processes nPROC: 100
- Disk IO: 10 MB per second
- File inode limit: 300,000
A.2 Email Sending
- Shared Hosting: up to 100 outgoing emails per hour per cPanel account.
- Reseller end users: up to 25 outgoing emails per hour per cPanel account under the reseller.
- Bulk or marketing mail must use a dedicated SMTP or third party sender with consent and unsubscribe. SPF, DKIM, and where supported DMARC are required.
A.3 File Storage and Backups
- Shared space is for active website and application files only. Backup archives or general file storage are not permitted.
- Platform backups: daily database backups with 7 day retention and website files weekly with 1 day retention where offered. Emails or media are typically excluded from platform backups.
- If you generate cPanel backups, download and delete them promptly. Backup files left on the server may be purged during automated cleanup.
A.4 Bandwidth Regulations for Shared or Reseller
If an account exceeds its plan bandwidth limit, we will notify you. If you do not purchase extra bandwidth or upgrade and continue to exceed the limit, the account may be suspended until you take measures to prevent further overage or upgrade the plan. The account is reactivated in the following month or upon upgrade or payment of overage as applicable.A.5 Unmetered or Unlimited Terms for Shared or Reseller
We do not set a fixed transfer cap for normal operation of a personal or small business website that complies with this Agreement. Plans described as unlimited or unmetered do not include a limitless entitlement to CPU, memory, IO, processes, inodes, databases, or email sending. Use remains subject to the AUP, CloudLinux limits, and fair use on a multitenant platform. If your usage or content risks platform stability, performance, or other customers’ experience, we may ask you to optimize, reduce usage, or upgrade to VPS or Dedicated. We may rate limit, restrict, or suspend the account if the impact continues. Examples of non typical use that may trigger action include file distribution, media streaming from Shared hosting, backup repositories, or high concurrency workloads.A.6 Reseller Responsibilities
- No reselling on Shared: using a Shared Hosting account to resell web hosting is not allowed. To resell, you must purchase a Reseller Hosting plan.
- Pass through obligations: resellers must ensure each end user complies with the TOS, AUP, SLA, and data protection terms.
- Support boundary: resellers provide first line customer service, billing, and technical support to their end users. Ucartz supports the reseller, not the end user directly.
- Accountability: resellers are responsible for content stored or transferred under their reseller accounts and for their users’ actions. We may hold a reseller responsible for activities from its clients that violate law or this Agreement.
- Indemnity: we are not liable for acts or omissions of resellers. Resellers agree to indemnify Ucartz against claims brought by their customers resulting from reseller actions or omissions.
- Unlimited counts in reseller hosting: if a Reseller Hosting plan is marketed with unlimited accounts, domains, addon domains, email accounts, or similar counts, unlimited means no preset cap for normal operation. It is not infinite. Use remains subject to the AUP, CloudLinux limits, and fair use on the shared platform. We may ask you to optimize or upgrade, or we may restrict or suspend if usage affects platform stability or other customers.
- Plan changes: we may review and modify reseller plans when necessary. Changes take effect when posted or on a later effective date we designate.
Appendix B — VPS and Dedicated Servers
- Email sending: default limit 1,000 outgoing emails per hour per VPS or Cloud instance. Bulk or marketing mail must use a dedicated SMTP or third party sender with consent and unsubscribe. Reputation safeguards apply including SPF, DKIM, DMARC, and rDNS or PTR. No spam complaints.
- Provisioning targets: VPS typically within hours. Dedicated up to 10 business days subject to stock.
- Root or Administrator access is provided. You are responsible for OS and application security on unmanaged plans.
- Managed scope includes OS patching, hardening, monitoring, and incident response for covered components. Custom stacks may require an SOW.
- Security testing images: Kali Linux VPS is offered for authorized security testing only and must follow TOS §14 and AUP §5. Testing is limited to assets you own or control with written authorization and all applicable laws.
- We monitor CPU, RAM, disk, and network at node and edge. We may throttle or suspend VMs that degrade node stability and will notify you when possible.
- Backups are not included by default. Paid options may be available. You must maintain tested backups.
- Failed hardware will be replaced with equivalent or newer parts. Compatibility with all custom software is not guaranteed after refresh.
B.7 IP addresses with the server (Dedicated Servers)
- No IP switching after delivery. Once the server is delivered, the assigned IPv4 and IPv6 addresses are final. We do not swap, rotate, or replace IPs on request, and we do not move IPs between servers.
- Exceptions. The only exceptions are upstream required renumbering, compliance actions, or abuse mitigation where we decide a change is necessary. In such cases, you must update your systems and DNS accordingly. No credits are issued for IP changes made under these exceptions.
B.8 Server location (Dedicated Servers)
- Choose location at order time. You must select the desired datacenter location during checkout.
- No post delivery location change. After provisioning, we do not move or migrate dedicated servers to a different location.
- Need a different location. If you require another location, place a new order in that location, migrate your data, and cancel the old server per the normal cancellation terms.
- Notes. Facility location is not a guarantee of third party IP geolocation records. You are responsible for any updates needed to third party geolocation services.
Appendix C — Streaming and Broadcasting
- Content rights: you are responsible for rights to all content you broadcast. We act on lawful takedowns and may disable content or streams that violate law or AUP.
- Bitrate, slots, and transfer: plan specific caps apply. When slots are full, new connections are refused. When transfer is exhausted, we may throttle, suspend, or bill overage.
- AutoDJ, DVR, and storage: libraries and recordings count toward storage quotas. We may delete files that exceed quota or violate policies. Export recordings you want to keep.
- Relays and restreams: relaying third party stations or channels requires written permission. Restreaming to social platforms must follow those platforms’ policies. We may restrict high risk categories without proof of rights.
- Security and abuse: keep source passwords and stream keys secret. Rotate after staff changes. We may rate limit API calls or metadata updates and mitigate attacks to protect platform stability.
Appendix D — Domains
- Registrations, transfers, renewals, auto renew rules, expiry handling, and redemption follow ICANN and registry policies. Keep registrant contact email valid. Redemption or restoration may require registry fees when available.
Appendix E — Hire an Expert (Tech Ops)
- Engagement models: hourly, retainer, or SOW with milestones.
- Deliverables and IP: license for your internal use after payment. Our pre existing tools and know how remain ours. We may reuse generalized learnings that do not reveal your confidential information.
- Confidentiality: we keep your confidential information secret and use it only to deliver the engagement. NDA available on request.
- Warranty and support: 30 days for defects in delivered scope. Later environmental changes or third party updates are out of scope.
- Termination: either party may end for convenience with written notice, subject to payment for work performed. We will return or delete credentials and materials upon request, subject to legal retention.
Affiliate Program: Terms & Conditions
These Terms and Conditions ("Terms") govern your participation in the Ucartz Affiliate Program ("Program"). By joining or participating in the Program, you agree to be bound by these Terms, which may be updated by Ucartz from time to time. Your continued participation constitutes acceptance of any changes.1. Program Overview
Ucartz offers a multi-tiered affiliate program designed to reward individuals and businesses ("Affiliates") for referring new customers to Ucartz. As an Affiliate, you can earn:- Recurring Commissions: On eligible services including VPS, Dedicated Servers, and other specified services, as long as the referred client remains active and paying.
- One-Time + Recurring Commissions: On selected services like Shared Hosting and Radio Hosting
- Starter Bonus: A $10 bonus upon successful signup, subject to payout thresholds
2. Commission Structure

Notes on Commissions
- Recurring Commissions: Apply only as long as the referred client remains active and paying.
- *Shared Hosting Recurring Condition: Recurring commissions apply only to Shared Hosting services with a monthly price of $0.99 or higher that results in an annual payment of $10 or more.
- **Radio Hosting Recurring Condition: Recurring commissions for Radio Hosting commence after the referred client has maintained paid service for 2 consecutive months.
- Loyal Affiliate Definition: An affiliate is designated as a "Loyal Affiliate" upon achieving $500 in total commissions within any 6-month period, or successfully referring and maintaining 10+ active paying clients for 3 consecutive months. This status will be reviewed quarterly.
- Eligible Services: A comprehensive list of all eligible services and their specific commission terms can be found in your Affiliate Dashboard.
- Billing Cycle-Based Commissions: For certain services, commissions may vary based on the client's chosen billing cycle (e.g., higher percentages for annual payments). Specific details will be outlined in the Affiliate Dashboard.
B. Tiered Affiliate Program (Optional)
Affiliates have the option to build a sub-affiliate network, enhancing their earning potential through direct recruitment tracking within the Affiliate Dashboard:- Tier 1 (You): Earn full commission as per the Standard Affiliate Commission Structure.
- Tier 2 (Your Recruits): Sub-affiliates recruited by you will earn 60% of the standard commissions outlined in Section 2A.
- Tier 1 (Override Bonus): You receive a 15% override bonus on commissions earned by your Tier 2 sub-affiliates. This override is a fixed percentage and is paid in addition to your direct commissions.
3. Joining Bonus
Each affiliate receives a $10 bonus upon successful signup. This bonus is non-withdrawable until the minimum payout threshold of $40 is reached. Fraudulent signups, self-referrals, or misuse of this bonus will result in account suspension and forfeiture of the bonus.4. Cookie Tracking & Attribution
- Cookie Duration: Our tracking cookies have a duration of 365 days (1 year)
- Attribution Model: If a user referred by your unique affiliate link makes a qualifying purchase within this 365-day period, the commission will be credited to your affiliate account.
- First-Come, First-Credited: Ucartz operates on a "first-come, first-credited" model. The first affiliate to refer the user (whose cookie is active and tracked) receives the commission for that referral.
5. Payouts & Thresholds
- Minimum Withdrawal Threshold: The minimum amount required for commission withdrawal is $40.
- Payment Schedule: Payments are processed monthly for validated commissions earned in the previous month. Affiliates will receive email notifications upon a successful commission.

- Usage Guidelines: You may use the provided marketing materials solely for the purpose of promoting Ucartz services. You may not make misleading claims, offer false discounts, impersonate Ucartz, or engage in any deceptive advertising. All materials used must adhere strictly to Ucartz's brand guidelines.
7. Affiliate Community & Gamification
- Exclusive Affiliate Community Platform: Ucartz fosters a collaborative environment through a dedicated online community platform. This forum allows affiliates to connect, share tips, discuss strategies, celebrate successes, and receive peer support. Active participation is encouraged.
- Performance Leaderboards & Gamification: To incentivize engagement and performance, Ucartz implements performance leaderboards, contests, and gamification elements. Affiliates can earn badges, achieve tiers, and compete for additional bonuses and recognition based on their sales volume and activity, with their next due date and commission history clearly visible.
8. Dedicated Support & Management
Ucartz is committed to providing exceptional support to our affiliates:- Dedicated Affiliate Manager: For higher-tier and loyal affiliates, a dedicated affiliate manager will be assigned to provide personalized support, strategic guidance, and faster issue resolution.
- Fast & Responsive Support: All affiliates have access to a dedicated support channel (via email/ticket system) for prompt assistance with any program-related queries or technical issues. We aim for quick resolution times to ensure your success.
- Admin Control: Ucartz reserves the right to approve new affiliate accounts, manage affiliate links visibility, and control affiliate details shown in the client area.
9. Prohibited Activities & Fraud Policy
Ucartz maintains a strict policy against fraudulent or unethical activities. Engagement in any of the following will result in immediate account suspension and forfeiture of all earned commissions:- Self-referrals: Purchases made for personal gain using your own affiliate link or custom coupon code are strictly prohibited and will not be eligible for commission. The program is designed for referring new customers only.
- Spam: Sending unsolicited commercial email (spam) or engaging in any form of spamming will lead to immediate termination.
- Illegal Methods: Promoting Ucartz through any illegal, unethical, or harmful methods.
- Brand Bidding: Bidding on Ucartz branded keywords or variations thereof in search engines (e.g., Google Ads, Bing Ads).
- Misleading Promotions: Making false claims, offering unauthorized discounts, or misrepresenting Ucartz services in any way.
- Compliance: Affiliates must comply with all applicable local laws, regulations, and industry guidelines, including but not limited to FTC disclosure guidelines for endorsements and testimonials.
- Fraudulent Activity: Any attempt to manipulate our tracking system, generate artificial clicks/leads, or engage in any other form of fraudulent activity will lead to termination. This includes, but is not limited to, using Proxy/VPN/Anonymizer services for account creation or fraudulent orders.
10. Termination & Suspension
Ucartz reserves the right to suspend or terminate an affiliate account, with or without prior notice, in cases of:- Fraudulent Activity: Engaging in any form of fraud or deceptive practices.
- Misrepresentation of Services: Consistently misrepresenting Ucartz's services or terms.
- Policy Violations: Non-compliance with any of the Terms and Conditions outlined herein.
- Inactivity: Inactivity exceeding 6 months (no clicks or sales).
- Account Deletion: If an affiliate requests account deletion.
11. Legal & Compliance
- Tax Responsibility: Affiliates are solely responsible for any and all taxes, duties, levies, or other fees that may be associated with commissions received from Ucartz, according to the laws of their jurisdiction. Ucartz will not be liable for any tax withholding or reporting on behalf of affiliates.
- Data Privacy: Affiliates acknowledge and agree to comply with all applicable data protection and privacy laws (e.g., GDPR, CCPA, India's DPDP Act, 2023) concerning any personal data they collect, store, or process in connection with their affiliate activities.
- Governing Law & Jurisdiction: These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in [City in India, e.g., Bangalore, Delhi, Mumbai, based on Ucartz's HQ].
- Dispute Resolution: In the event of a dispute, parties agree to first attempt resolution through good-faith negotiation. If a resolution cannot be reached informally, either party may pursue further legal recourse as per the governing laws and jurisdiction.
12. Modification of Terms
- Ucartz reserves the right to update or modify these Terms and Conditions at any time. Changes will be posted prominently on the Ucartz website and within the Affiliate Dashboard. Your continued participation in the Program after such modifications constitutes your acceptance of the revised Terms.
